Dr. Michael Lamsa

Dr. Michael Lamsa is co-head of Gowling WLG's German M&A, PE and VC team.

Michael specialises in national and cross-border complex M&A transactions (including carve-outs) and private equity transactions and advises, in particular, strategic investors and financial investors from Germany and abroad. His practice covers buy-side and sell-side advise as well as pre-transaction structuring and post-merger integration. Michael also focuses on advising clients on corporate law, covering a broad range of areas, including management buy-outs, management participations, venture capital, joint ventures, reorganisations, and restructurings.

Moreover, Michael is also a lecturer at the Frankfurt School of Finance and Management in Frankfurt am Main, Germany.

Michael began his career as a lawyer in 2008 at Clifford Chance, moving on to Weil, Gotshal & Manges in 2015. In 2019 he joined Taylor Wessing in the corporate M&A group, then joining Gowling WLG in May 2023.

Experience

Michael's experience prior to joining Gowling WLG includes:

  • Advised Norwegian data centre group Green Mountain, owned by Azrieli Group Ltd., on the formation of a joint venture with the energy company KMW to establish a new 54 MW data centre site in Mainz.
  • Advised the shareholders of Gambio GmbH, a leading provider of shop software solutions for online retail in the DACH region, on the sale of the company to ECOMMERCE ONE, a portfolio company of private equity investor Oakley Capital.
  • Advised Sparta Capital Management Ltd. as investor in a Series A financing round in Sunvigo GmbH.
  • Advised the shareholders of Raiser Robotics International GmbH on the formation of Stow Robotics GmbH, a joint venture with the Stow Group being a portfolio group of the private equity investor The Blackstone Group.
  • Advised German Equity Partners V (GEP V), a fund managed by independent German investment company ECM Equity Capital Management GmbH (ECM), on the investment in the telematics software provider YellowFox GmbH (YellowFox) in the context of a partnership investment.
  • Advised Much-Net GmbH, a group company belonging to the Coupa Software Group, on the granting of a license to the portfolio and risk management software PMS for further development to COPS GmbH, Vienna, as well as the takeover of the support of existing Much-Net customers by COPS.
  • Advised Coupa Software Inc., a leading provider of business spend management solutions, on the acquisition of the Much-Net Group, a leading provider financial software and IT services, from its founder.
  • Advised Coupa Software Inc., a leading provider of business spend management solutions, on the acquisition of the BELLIN Group, a leading provider of treasury management software, from its founder Martin Bellin as well as from the Private Equity investor LEA Partners.
  • Advised the shareholders of Carl Cloos Schweißtechnik Group in the sale of the group to Estun Automation Co. Ltd and China Renaissance Capital Investment (CRCI).
  • Advised Advent International and Culligan International in the acquisition of Aqua Vital Group from Halder Beteilgiungsberatung GmbH.
  • Advised the shareholders of the sports betting group Tipico in the sale of a majority stake to private equity investor CVC Capital Partners.
  • Advised TPG Capital in the sale of all shares in the MEDIA BROADCAST Group to freenet AG.
  • Advised European financial investor Chequers Capital, Paris, on the acquisition of Deutsche Fachpflege Holding as well as the related financing.
  • Advised Nokia Siemens Networks on the sale of its optical business to Marlin Private Equity.
  • Advised Montagu Private Equity on the sale of BSN medical Group to EQT.
  • Advised Pramerica on the EUR 120 million development joint venture with hkm Management AG.
  • Advised Cognetas on the sale of Oase Group to Barclays Private Equity.
  • Advised HgCapital on the sale of the SLV Group to Cinven.
  • Advised 3i on the sale of MWM Group to Caterpillar.
  • Advised CVC in connection with the corporate structure of the Elster Group SE (including formation of an European Stock Corporation (Societa Europaea) and its cross border migration to Germany) and preparation and implementation of its initial public offering on the New York Stock Exchange.
