Faithe H. Holder

Faithe Holder is legal counsel in the Real Estate and Financial Services Department in Gowling WLG's Toronto office.

Faithe's practice is primarily concentrated on infrastructure/public-private partnership (P3), commercial real estate, and construction law. She has experience in the acquisition, financing, and disposition of commercial properties, as well as drafting, negotiating, and reviewing a variety of agreements, including P3 agreements, agreements of purchase and sale, leases, service agreements, standard construction contracts, consultant contracts, tenders, requests for proposals, and other procurement documentation.

Faithe acts for a wide range of companies in the infrastructure, real property, and construction sectors, including owners, contractors, developers, borrowers, lenders, property managers, facility managers, and governmental entities.

In addition to her practice at Gowling WLG, Faithe also enjoyed a tenure as legal counsel with the Crown corporation which managed one of Canada's largest real estate portfolios on behalf of the Ontario government. As a key member of the corporation's legal services department, Faithe advised on corporate, commercial, real estate, construction, public procurement, public policy, and litigation matters.

Faithe has represented clients involved in infrastructure projects spanning a large cross-section of asset classes, including nuclear facilities, hospitals, courthouses, arts centres, schools, detention centres, and rail maintenance facilities.

As a result of her work in infrastructure law, Faithe has been recognized by Best Lawyers in Canada in the area of Project Finance Law. In addition, she has been a featured leading lawyer in the Canadian Legal Lexpert Directory, and has been included as a Lexpert-ranked leading lawyer in the Lexpert Special Editions on Canada's Leading Energy Lawyers and Canada's Leading Infrastructure Lawyers.

Faithe has a passion for equity, diversity, and inclusion (EDI), and has been actively involved in related initiatives at Gowling WLG. In addition to her role as an advisor to the firm's national EDI Council, Faithe has served as co-chair of the Toronto Anti-Racism Action Committee, and has led unconscious bias training for members of the firm's Toronto office. She is also trained in and administers Mental Health First Aid, and assisted with the conceptualization, drafting, and implementation of the Gowling WLG's Mental Health Strategy.

Representative Work

A selective description of Faithe's infrastructure/P3 law experience includes:

  • Advising Infrastructure Ontario and the Province of Ontario, as part of a multi-firm legal team, in structuring and implementing Ontario's procurement process to select the vendor and nuclear technology for Ontario's new-build nuclear project.
  • Reviewing RFP documentation and acting for the consortium in drafting and negotiating a series of agreements between the members of the consortium in preparation for submission of the consortium's bid in respect of the City of Toronto Source Separated Organic Material Processing Facility Project.
  • Reviewing and negotiating, on behalf of a member of the successful consortium, the project, subcontract and interface agreements for the Durham Courthouse, Orleans Art Centre, Niagara Hospital, Bridgepoint Hospital, Toronto South Detention Centre, McGill University Health Centre, Thunder Bay Consolidated Courthouse, Long Beach Court Building, Humber River Regional Hospital, Interior Heart and Surgical Centre, Emily Carr University of Art and Design, Saskatchewan Schools 1 and 2, Swift Current Hospital, Providence Care Hospital and Milton District Hospital P3 Projects.
  • Reviewing and negotiating the project, subcontract and interface agreements, on behalf of a consortium member, in respect of Royal Jubilee Hospital, Kelowna Hospital, Surrey Hospital, Alberta Schools I, Moncton Courthouse, Waterloo Courthouse, Moncton Schools, Saint John Courthouse, OPP Modernization, St. Joseph's Hamilton and St. Joseph's London P3 Projects.
  • Acting on behalf of a consortium member, in respect of Restigouche Hospital Centre, Surrey Pretrial Services Centre, Sheppard Maintenance and Storage Facility, Quinte Consolidated Courthouse and St. Thomas Consolidated Courthouse P3 Projects.
  • Acting on behalf of the successful consortium in respect of the South West Detention Centre P3 Project.

A selective description of Faithe's real estate law experience includes:

  • Acting for a group of Canadian real estate investors in their acquisition and disposition of real estate across Canada.
  • Acting for a trade union in the acquisition of commercial and industrial property in Ontario.
  • Acting for a real estate limited partnership in the acquisition, financing and ultimate disposition of more than $700 million of apartment complexes and seniors' homes throughout Canada consisting of 7,600 units.
  • Acting for an Ontario crown corporation with respect to acquisition and dispositions of crown property.
  • Acting for a European pension fund with respect to acquisitions and dispositions of commercial office property in downtown Toronto.
  • Acting for the purchaser in the acquisition of farm property in Ontario.
